1 Acceptance of the Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "You," or "Customer") and BioZent Research ("Company," "We," "Us," or "Our"), governing your access to and use of biozentresearch.com (the "Site") and the purchase of products found therein.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and must discontinue use immediately.

2 Age Requirement

You must be at least twenty-one (21) years of age to access this Site or purchase products. By using this Site, you warrant and represent that you are at least 21 years of age and possess the legal authority, right, and freedom to enter into a binding agreement.

3 Intended Use of Products (Research Use Only)

WARNING: The products sold on this Site are strictly for laboratory research purposes only.

3.1 No Human or Animal Use

BioZent Research products are NOT intended for use as food additives, drugs, cosmetics, household chemicals, or other inappropriate applications. The listing of a material on this Site does not constitute a license to its use in infringement of any patent.

3.2 Researcher Verification

By purchasing these products, you acknowledge that there are hazards associated with their use. You represent and warrant to us that you are suitably qualified and/or strictly supervising a qualified individual who is aware of the health and safety hazards associated with handling these materials.

3.3 Prohibited Uses

The following uses are strictly prohibited and will result in the immediate placement of the User on our "Do Not Sell" list:

Use of products for bodybuilding or sports performance enhancement
Use of products for "anti-aging" or cosmetic purposes
Use of products for diagnostic or therapeutic purposes in humans or animals

We reserve the right to limit or refuse sales to any individual or entity if we have reason to believe the products will be misused.

4 User Representations

By using the Site, you represent and warrant that:

All registration information you submit will be true, accurate, current, and complete
You will maintain the accuracy of such information
You are not a minor in the jurisdiction in which you reside
You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise
Your use of the Site will not violate any applicable law or regulation

5 Disclaimer of Warranties

The Site and all products are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, BioZent Research disclaims all warranties, express or implied, in connection with the Site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Site's content or the content of any websites linked to the Site.

6 Limitation of Liability

In no event will BioZent Research, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or products, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7 Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

Your use of the products
Your violation of these Terms of Service
Any breach of your representations and warranties set forth in these Terms (specifically regarding the research nature of our goods)
Your violation of the rights of a third party, including but not limited to intellectual property rights

8 Governing Law

These Terms shall be governed by and defined following the laws of the State of Alabama, without regard to its conflict of law principles. You consent to the personal jurisdiction of the state and federal courts located within Alabama for any lawsuits, actions, or disputes arising out of your use of the Site.

9 Electronic Communications, Transactions & Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.
